The ESG Office aims to implement corporate governance, promote sustainable environmental practices, uphold social welfare, and enhance information disclosure as the four key aspects of corporate sustainability development. To address the economic, environmental, and social impacts, the ESG Office has formed three subcommittees: Corporate Governance, Green Operations, and Social Care. These subcommittees collect external advocacy information related to the economic, corporate governance, environmental, and social aspects that are relevant to the company's operations. They are responsible for engaging with stakeholders, aligning interests, and prioritizing material issues based on the outcomes of stakeholder engagement. The ESG Office presents the corporate vision blueprint to the Board of Directors, formulates relevant policies, systems, or management guidelines for corporate sustainability, and subsequently obtains the Board's approval for specific implementation plans.
In 2022, the Board of Directors convened a total of 10 meetings, with 3 specifically addressing sustainability matters.
We reported it to the Board of Directors in November 2022.
We presented the Primax Group's sustainability strategy blueprint and the 2022 work plan and progress.
Listed below are short-term (1-3 years), midterm (3-5 years), and long-term (5 years above) goals targeting material issues identified by Primax, their achievement rate, designated action plans, and unquantifiable achievements. Their completion status are represented with the following icons:
ince 2012, Primax has strictly complied with the "Conflict Mineral Law" and refrained from using and purchasing conflict minerals that originate from Democratic Republic of the Congo, while at the same time demanded all suppliers to make commitment to using responsible minerals.
It is mandatory for suppliers to guarantee that all products sold to the Primax Group are free of hazardous substances prohibited by local regulations, whether in raw materials, packaging, or production process. Furthermore, suppliers are also demanded to comply with Primax's specific requirements.
In addition to treating every member of the Primax Group equally, we have formulated a human rights policy, including non-discrimination, no child labor, elimination of forced labor, and respect for employees’ freedom of association with reference to the RBA Code of Conduct, the Universal Declaration of Human Rights, the International Labor Organization Declaration on Fundamental Principles and Rights at Work, and other international conventions.
Primax’s requirements for suppliers are not limited to performance and quality. Before collaboration, we require all new suppliers to sign the Integrity Statement and the Supplier Statement. They must cooperate in signing and submitting the environmental statement document reviewed by our company, including the responsible minerals statement, the restricted substances statement, company ,the RBA Code of Conduct, to indicate that raw materials and finished goods they purchased have been in compliance with relevant initiatives, environmental laws and regulations, company policies and RBA Code of Conduct.
Primax Group has established its own tax policy to minimize taxation risk, optimize after-tax business performance and protect shareholders’ interest, which in turn ensures compliance with tax laws and fulfillment of corporate social responsibilities.
In order to align with advanced technology tendency and protect technical achievement, we continuously engross sufficient resources in R&D and analysis for the variation of marketing and technology in relation to our products. We also formulate intellectual property policy which integrates the operation goal and R&D resources so as to reinforce the advantage in competition.

To achieve the goal of corporate sustainable development and be aligned with the important aspects that clients are concerned about and international trends, Primax has established a risk management system to regulate the management mechanism of risk management in accordance with the requirements of corporate risk management, there by improving the operational efficiency of risk management.
Primax has established a risk assessment team through the authorization of the Board of Directors, led by ESG Office, and assigned various functiona lunits to form risk assessment teams. At least once a year, we conduct risk and opportunity identification meetings to address operational, sustainability, and climate change risks. The scope of risk identification in 2022 includes our major operating locations such as Primax Electronics Taipei Headquarters/Taipei R&D Center, Primax Dongguan, Primax Chongqing, Primax Kunshan , and Primax Thailand, but excludes subsidiaries.
Primax has established a Risk Management Committee. ESG Office serves as the convener, driver and implementer for Risk Assessment Taskforce. Members of the Risk Assessment Taskforce convene the risk and opportunity identification meetings at least once per annum, to identify risks in corporate operation, sustainability and climate change.
Business risk, financial risk, strategy risk, legal risk, priduct safety and supply chain risk, environmental and occupational health and safety risk, human resources and behavioral management risk, and other risks
Transition risk, physical risk
Corperate risk sources include the extension and analysis of two main axes: sustainability operation risks and climate change risks. Factorsthe may impact sustainability operation are considered as risk sources.
The assessment team follows the "Corporate Risk Management Policies and Procedures" to conduct risk assessments. The evaluation criteria include three main factors: "likelihood," "impact," and "vulnerability." These criteria are measured against the defined scoring scales for impact, likelihood, and vulnerability, as outlined in the company's impact scale, likelihood scale, and vulnerability scale.
Corporate Risk Management is divided into three organizational levels for operational efficiency:
The first level involves the heads of various operational units who are responsible for implementing internal risk management operations. This includes processes, record management, continuous improvement, and more.
The second level is comprised of functional management units at the corporate headquarters. Their role is to oversee and supervise the execution of risk management by the operational units.
The third level consists of the auditing unit, which independently conducts internal control.
In 2022, the Risk Assessment Team held riskassessment meetings in June and November, reevaluating various corporate risks. The Enterprise Risk Management Report was presented to the Board of Directors in November by the convener of the Corporate Sustainability Office, Vice General Manager Ms. Chiang, Yan-Ying. During the year, a total of 68 risk factors were collected, and after going through the risk management process, the major enterprise risks identified for Primax include:
Challenges in the Chinese industrial upgrading
Inflation
Global expansion
Financial management
Increasing demand for green products
Adoptionof low-carbon production technologies
Mandatoryclimate information disclosure and reporting
Noncompliancewith customer ESG requirements
Widespread adoption of sustainability assessments
